NEW YORK JAZZ WORKSHOP
PLATFORM TERMS AND CONDITIONS
Effective Date: January 15, 2026
- ACCEPTANCE OF TERMS
These Platform Terms and Conditions (“Platform Terms”) govern your use of the New York Jazz Workshop website at www.newyorkjazzworkshop.com (the “Website”) and the New York Jazz Workshop mobile application at app.newyorkjazzworkshop.com (the “App”). Together, the Website and App are referred to as the “Platform.”
By accessing or using the Platform, you agree to be bound by these Platform Terms. If you do not agree to these Platform Terms, you may not use the Platform.
Important: These Platform Terms govern use of the Website and App. For terms related to enrolling in classes, lessons, and workshops, please see our separate Terms and Conditions of Enrollment. For information about data handling, please see our Privacy Policy.

- SERVICES
The Platform provides access to information about NYJW’s music education services and allows users to:
- Browse class and workshop schedules
- Enroll for programs
- Manage enrollments and lesson packages
- Communicate with instructors and staff
- Access learning materials and resources
- Book rehearsal studio time
- Make payments
- ACCOUNT REGISTRATION & RESPONSIBILITIES
3.1 Eligibility
- You must provide accurate, current, and complete information during registration
3.2 Account Security
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activities that occur under your account
- You must immediately notify us at info@newyorkjazzworkshop.com if you suspect unauthorized access to your account
- NYJW is not liable for any loss or damage arising from your failure to protect your account information
- Do not share your login credentials with others
3.3 Account Accuracy
- You must keep your account information (email, phone, address) current
- You are responsible for checking your email regularly for communications from NYJW
- Update your contact information through the Platform or by contacting us
- INTELLECTUAL PROPERTY RIGHTS
4.1 NYJW Content Ownership
All content on the Platform is the exclusive property of NYJW or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws, including but not limited to:
- Software, code, and applications
- Text, graphics, logos, images, and photographs
- Audio and video recordings
- Design, layout, and user interface
- Features and functionality
- Trademarks and branding
4.2 Limited License to Users
You are granted a limited, non-exclusive, non-transferable, revocable license to:

- Access and use the Platform or any content provided therefrom for personal, non-commercial purposes
- View and download materials solely for your enrolled classes and personal use 4.3 Prohibited Uses of Platform Content
You may NOT:
- Copy, reproduce, distribute, modify, or create derivative works from any Platform content
- Reverse-engineer, decompile, or disassemble any software or application
- Share screenshots, recordings, or technical descriptions of Platform features or functionality without written permission
- Attempt to replicate or recreate the Platform’s features, design, code, or proprietary systems
- Share login credentials or allow others to access your account
- Use any content for commercial purposes without written permission from NYJW
- Remove copyright, trademark, or other proprietary notices from content
4.4 App-Specific Intellectual Property Protection
The App’s functionalities, features, proprietary systems, and underlying code are confidential and represent significant investment in development. You agree:
- Not to capture, share, or disclose screenshots or technical details of the App’s functionality
- Not to reverse-engineer or attempt to recreate the App’s features or systems
- Not to share information about the App’s operational methods, architecture, or business logic with third parties
- Violations may result in immediate account termination and legal action
4.5 User-Generated Content
By submitting content to the Platform (feedback, reviews, forum posts, performance recordings, etc.), you grant NYJW:
- A worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, distribute, and publicly display your content
- The right to publish your name in connection with your submission
- No compensation will be paid for user-generated content
Subject to section 10 below, you warrant and agree that you own all rights to content you submit and that it does not infringe any third-party rights
- PROHIBITED CONDUCT
When using the Platform, you expressly acknowledge and agree that in no event are you permitted to, and that you shall not:
- Use the Platform for any unlawful purpose or in violation of these Platform Terms
- Violate any applicable laws, regulations, or third-party rights
- Transmit viruses, malware, or any code of a destructive nature
- Interfere with, disrupt, or compromise the Platform’s operation, security, or other users’ access
- Attempt to gain unauthorized access to any part of the Platform, other user accounts, or NYJW’s systems
- Impersonate any person or entity or falsely state or misrepresent your affiliation
- Harvest, collect, or scrape information about other users without permission
- Submit false, misleading, or fraudulent information
- Use automated tools (bots, scrapers) to access the Platform without permission
- Post defamatory, obscene, threatening, harassing, or hateful content
- Spam, solicit, or advertise without permission
- Violate any code of conduct applicable to classes or the NYJW community
- COMMUNICATION SERVICES
6.1 Available Communication Features
The Platform may offer forums, messaging, chat areas, or other communication features (“Communication Services”) to enable you to communicate with instructors, staff, and other students.
6.2 Acceptable Use
When using Communication Services, you agree to:
- Post only appropriate, relevant, and respectful content
- Respect other users and maintain civil, professional discourse
- Not post copyrighted material without permission
- Not use Communication Services for commercial purposes without authorization
- Follow all applicable codes of conduct
6.3 NYJW Rights
NYJW reserves the right to:
- Monitor Communication Services
- Remove any content in our sole discretion
- Terminate access to Communication Services for violations of these Platform Terms
- Disclose communications as necessary to comply with legal obligations
- take any and all remedies available at law or equity
6.4 No Endorsement
NYJW does not control or endorse user-generated content in Communication Services and is not responsible for and makes not warranty with respect to the accuracy, quality, or legality of such content.
- THIRD-PARTY SERVICES & LINKS
7.1 Third-Party Links
The Platform may contain links to third-party websites or services not controlled by NYJW. We are not responsible for:
- The content, privacy practices, or terms of third-party sites
- Any damages arising from your use of third-party sites
- The accuracy or reliability of third-party content
Links are provided for convenience only and do not imply endorsement.
7.2 Third-Party Service Providers
We use third-party services to operate the Platform, including:
- Payment processing (Stripe)
- Cloud hosting and infrastructure
- Email and communication platforms
- Analytics services
By using the Platform, you consent to our sharing of information with these providers as necessary to deliver services. See our Privacy Policy for details.
7.3 Third-Party Account Connections
You may connect your NYJW account to third-party accounts (e.g., social media platforms). By doing so:
- You acknowledge that information may be shared between accounts according to the third-party’s privacy settings
- You consent to such information sharing
- If you do not want information shared, you agree that your only recourse is not to use any such connections.
- DISCLAIMERS
8.1 “AS IS” Provision
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of accuracy, reliability, or completeness of content
- Warranties of uninterrupted, timely, secure, or error-free operation
- Warranties that defects will be corrected
8.2 No Guarantees
NYJW does not guarantee that:
- The Platform will meet your specific requirements
- The Platform will be uninterrupted, timely, secure, or error-free
- Results obtained from use of the Platform will be accurate or reliable
- The quality of any services, information, or materials obtained through the Platform will meet your expectations
- Any errors in the Platform will be corrected
8.3 Use at Your Own Risk
You expressly understand and agree that:
- Your use of the Platform is at your sole risk
- You are solely responsible for any damage to your device or loss of data resulting from use of the Platform
- NYJW is not responsible for unauthorized access to your account, except where caused by NYJW’s gross negligence
- LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
9.1 Exclusion of Damages
NYJW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, use, goodwill, or other intangible losses
- Damages resulting from:
- Your use or inability to use the Platform
- Unauthorized access to or alteration of your transmissions or data
- Statements or conduct of any third party on the Platform
- Any other matter relating to the Platform
9.2 Maximum Liability Cap
In no event shall NYJW’s total liability to you for all claims arising from or related to the Platform exceed $100 (one hundred dollars) or the amount you paid to NYJW in the six (6) months preceding the claim, whichever is greater. You understand that these limits are not in any way to be construed as an admission of liability of any sort by us.
9.3 State-Specific Limitations
Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, NYJW’s liability is limited to the maximum extent permitted by law.
- INDEMNIFICATION
You agree to indemnify, defend, and hold harmless NYJW, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Your use of the Platform
- Your violation of these Platform Terms
- Your violation of any third-party rights, including intellectual property rights
- Your violation of any applicable laws or regulations
- Content you submit to the Platform
- Any activities conducted under your account
NYJW reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with NYJW.
- TERMINATION
11.1 Termination by NYJW
NYJW reserves the right to suspend or terminate your account and access to the Platform at any time, without prior notice, for:
- Violation of these Platform Terms
- Fraudulent, illegal, or abusive activity
- Behavior harmful to NYJW, the Platform, or other users
- Extended periods of inactivity
- Any reason in our sole discretion
11.2 Termination by You
You may terminate your account by:
- Contacting us at info@newyorkjazzworkshop.com
- Following account closure procedures expressly set forth in the Platform
Upon termination:
- You remain responsible for any outstanding enrollment fees or charges (see Enrollment Terms)
- Access to your account and data will be discontinued
- Some information may be retained as required by law or for legitimate business purposes or as expressly permitted under the Privacy Policy
11.3 Effect of Termination
Upon termination of your account:
- Your right to use the Platform immediately ceases
- All licenses granted to you under these Platform Terms terminate
- We may delete your account, data, and content
- Sections that by their nature should survive termination will continue to apply, including, without limitation: intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution
- GOVERNING LAW & DISPUTE RESOLUTION
12.1 Governing Law
These Platform Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
12.2 Jurisdiction and Venue
You consent to the exclusive jurisdiction and venue of courts located in New York County, New York for all disputes arising out of or relating to these Platform Terms or the Platform.
12.3 No Class Actions
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
12.4 Informal Resolution
Before filing any formal claim, you agree to first contact us at info@newyorkjazzworkshop.com to attempt to resolve the dispute informally.
- GENERAL PROVISIONS
13.1 Entire Agreement
These Platform Terms, together with our Terms and Conditions of Enrollment and Privacy Policy, constitute the entire agreement between you and NYJW regarding the Platform and supersede all prior agreements and understandings.
13.2 Modifications to Platform Terms
NYJW reserves the right to modify these Platform Terms at any time. Changes will be effective upon posting to the Platform with an updated “Effective Date.” Your continued use of the Platform after changes are posted constitutes acceptance of the modified Platform Terms. We encourage you to review these Platform Terms periodically.
13.3 Severability
If any provision of these Platform Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
13.4 No Waiver
NYJW’s failure to enforce any provision of these Platform Terms does not constitute a waiver of that provision or any other provision. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.
13.5 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Platform Terms without NYJW’s prior written consent. NYJW may assign its rights and obligations under these Platform Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
13.6 Electronic Communications
You consent to receive communications from NYJW electronically, including via email and the Platform. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
13.7 Language
It is the express wish of the parties that these Platform Terms and all related documents be written in English.
13.8 Survival
All provisions that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution.
